2. Client Responsibilities
To ensure the successful delivery of our services, clients agree to:
- Provide accurate and comprehensive project requirements.
- Respond to communications in a timely manner.
- Supply any necessary resources, documentation, or personnel for project completion.
- Maintain compliance with applicable laws, including intellectual property and licensing regulations.
3. Project Scope and Changes
- The scope of each project will be defined in a written agreement or proposal.
- Changes to the project scope must be requested in writing and may result in adjustments to the timeline or cost.
4. Payment Terms
- Payments must be made as per the agreed milestones outlined in the project agreement.
- Late payments may incur additional charges or lead to suspension of services.
5. Intellectual Property
- Upon full payment, ownership of the delivered software will be transferred to the client, unless otherwise specified in the agreement.
- CEREALOFFERING Software retains the right to use generic, non-confidential components or methodologies developed during the project for other projects.
6. Confidentiality
- Both parties agree to keep all proprietary or confidential information private and to use it only for purposes related to the project.
7. Warranty and Support
- CEREALOFFERING Software warrants that the delivered software will function as specified in the project agreement.
- Any defects reported within [30/60/90] days of delivery will be corrected at no additional cost.
8. Limitation of Liability
- CEREALOFFERING Software is not liable for indirect, incidental, or consequential damages arising from the use of its software.
- Our liability for direct damages is limited to the amount paid for the specific project.
9. Termination
- Either party may terminate the agreement with written notice if the other party breaches any material term.
- Upon termination, all outstanding payments must be settled, and work completed up to the termination date will be delivered.
10. Governing Law
These terms are governed by the laws of Ghana. Any disputes will be resolved through mediation or arbitration in this jurisdiction.
11. Amendments
CEREALOFFERING Software reserves the right to update these Terms and Conditions. Clients will be notified of significant changes, and continued use of our services implies acceptance of the revised terms.
